LiberTEA Livestream & Reminder to Apply for the Board of Governors

May 10, 2023 (to AAMC-owned e-mail list)

Dear Alumnae Community,

We hope you will join us for an upcoming event, and consider applying to become a Governor to help shape the AAMC’s future for generations to come!

LiberTEA Livestream

This Saturday, May 13, the monthly CommuniTEA gathering at Reinhardt will feature a presentation from Catherine Ladnier ‘70, with a theme of LiberTEA. This event will now be livestreamed at 2:00 PM PST

From Ming Quong to Sheng Thao, we will celebrate Mills’ AAPI Heritage this month. Catherine’s play, A Future Day of Radiant Peace, explores the experience of Japanese American Mills College students who corresponded from internment camps with Mills College president Aurelia Henry Reinhardt during WWII. Come learn about the Mills students whose resilience still inspires during these difficult times, as well as the influence of Chinese students and Hawaii's Queen Kapiolani.

On the same day, Catherine will present at Rosie the Riveter National Historical Park.

The in-person event at Reinhardt Alumnae House will feature tea and light refreshments, and is part of the ongoing CommuniTEA series hosted by the Hospitality Committee. Please email aamc.hospitality@gmail.com with any questions.

Board of Governors Applications Now Open & May LiberTEA Event

April 21, 2023 (to AAMC-owned e-mail list)

Applications to Join the Board of Governors are Open!

We are happy to announce that you can now download the application for next year’s AAMC Board of Governors. The application is a fillable PDF with an option to print and scan/mail your handwritten responses. We hope you will consider applying! More details can be found in our FAQ below. Please email nomcom@aamc-mills.org with any questions.

Why apply to be a Governor?

Serving on the Board of Governors is a great way to have an impact by supporting fellow alumnae, students, and the Mills legacy, and shaping the future of the organization during a critical time of transition and decision-making.

What are the expectations of Governors?

General expectations of Governors include, but are not limited to the following:

  • Actively serve on, and preferably Chair, at least one committee;

  • Attend all regularly scheduled board meetings (Traditionally, there have been 4-6 meetings per year. Moving forward, we expect them to be as frequent as monthly);

  • Attend retreats, workshops, or other Board development activities, when scheduled; and

  • Attend AAMC-sponsored events as much as possible.

Who can serve on the AAMC Board of Governors, and for how long?

Anyone who has completed at least one semester at Mills College can apply to serve on the AAMC Board of Governors. This term will begin in July and last for three years.

How do I express interest in being an AAMC Officer (President, Vice President, or Treasurer/Corporate Secretary)?

Alums may indicate on their application if they want to serve as an AAMC officer. Current Governors must submit or update their application to indicate they want to be considered for an officer position. For 2023-2024, we are accepting applications for Vice President and Treasurer/Corporate Secretary.

Will there be an election for the Board of Governors if there are more applicants than seats available?

Per AAMC bylaws, it is up to the Nominating Committee whether to decide to hold an election or not. Historically, the AAMC has never held general elections for board seats, even when there have been more than one applicant per position. There were questions about this process last year, and it was requested that the AAMC seek a legal opinion about the compliance of the bylaws in last year’s selection of Governors by the Nominating Committee without an election.

The AAMC, its Board and leadership, engaged the Mill Law Center to provide an assessment on AAMC’s current bylaws and nomination and election procedures, specifically whether AAMC’s bylaws are in compliance with California corporations’ law both in its written form and in application. It was determined that the AAMC was in compliance with California Corporations Law and the AAMC Nomination Committee followed AAMC bylaws for election of the current officers and governors, and no further action is needed.

Application Deadline and Decision Date

Applications must be submitted by Sunday, May 21, 2023. All applications submitted via email must be received by 11:59 PM Pacific to be considered. Applications sent via postal mail must be postmarked no later than May 21 and preferably arrive at the AAMC office no later than Monday, May 22, 2023.

The Nominating Committee’s selections will be announced at the Annual Meeting on Saturday, June 24, 2023.

We look forward to receiving your application!

LiberTEA on May 13: RSVP Now!

Don’t miss a presentation by alumna and Board member Catherine Ladnier ‘70 at next month’s CommuniTEA—with the theme of LiberTEA—held at Reinhardt Alumnae House on Saturday, May 13 from 2-4 PM.

Please RSVP by May 8.

Catherine will share the stories of Japanese American Mills College students who corresponded from internment camps with Mills College president Aurelia Henry Reinhardt during WWII. On the same day, Catherine will present at Rosie the Riveter National Historical Park.

Please email aamc.hospitality@gmail.com with any questions.

Sincerely,

Join Mills Professor, Ajuan Mance, at Menlo Park DocFest

April 14, 2023 (to AAMC-owned e-mail list)

Dear Alumnae Community,

Come to Menlo Park Library to join Mills Professor Ajuan Mance for a viewing and discussion of Wonder Women! The Untold Story of American Superheroines.

Wonder Women! The Untold Story of American Superheroines is an award-winning documentary exploring the concept of heroic women, from the birth of the superhero in the 1940s to the TV and big screen action blockbusters of today.

After we watch the film, we’ll discuss it with artist and writer Ajuan Mance, Ph.D., professor of African American Literature at Mills College in Oakland.

Wonder Women looks at how popular representations of powerful women often reflect society’s anxieties about strong and healthy women. The film goes behind the scenes with actors Lynda Carter (Wonder Woman) and Lindsay Wagner (the Bionic Woman), comic writers and artists, and real-life superheroines such as feminist icon Gloria Steinem, riot girl Kathleen Hanna, and others, who offer an enlightening and entertaining counterpoint to the male-dominated superhero genre.

This free event received partial funding support from the Friends of the Menlo Park Library. View the event on the Menlo Park Library website.

About Ajuan Mance

Ajuan Mance is a professor of African American literature at Mills College in Oakland, California. A lifelong artist and writer, Ajuan has participated in solo and group exhibitions as well as comic and zine fests, from the Bay Area to Brooklyn.

In her art, illustration and comics, Ajuan uses humor and bright colors to explore race, gender, power, and the people and places in which they intersect. Her work has appeared in a number of digital and print media outlets, including, most recently, The Women’s Review of Books, Blavity.com, BET.com, Transition Magazine, Buzzfeed.com, KQED.org, the San Francisco Chronicle, NYTimes.com, KPIX News and Publisher’s Weekly.

Dr. Mance’s books include Living While Black: Portraits of Everyday Resistance, 1001 Black Men: Portraits of Masculinity at the Intersections, and Gender Studies: The Confessions of an Accidental Outlaw.

Update on Database & Upcoming Events

January 13, 2023 (to shared College e-mail list)

Dear Alumnae Community,

We at the AAMC wish you a joyous and refreshing new year, with our hearts going out to all in California who have been impacted by the recent storms.

In addition, we are proud as always of Mills alumna Barbara Lee ’73, who announced this week that she will run for Senate in 2024. While at Mills, Congresswoman Lee was president of the Black Student Union (BSU) and volunteered at the Oakland chapter of the Black Panther Party’s Community Learning Center. Read more about Congresswoman Lee’s immeasurable impact in this KQED article from 2021.

Update on database

In late December, the Office of Institutional Advancement (OIA) of Mills College at Northeastern University delivered the data containing 2,315 contacts who had opted in to the AAMC’s database in the months before. These contacts will be added to the AAMC’s independent database and will broaden the AAMC’s reach. We are grateful to OIA, and especially to the Advancement Services staff who worked tirelessly to prepare and deliver this data.

This email today was sent on our behalf by the Office of Institutional Advancement to the approximately 12,000 contacts in their email database. The AAMC also regularly sends emails to our independent database. If you didn’t have a chance to opt in, please add your contact information today.

FAQs & Preliminary Results from Comment Period; AAMC Staff Updates; Holiday Gifts for Sale; CommuniTEA Event on December 17th

December 8, 2022 (to shared College e-mail list)

Dear Alumnae Community,

We hope you are enjoying the beginning of your holiday season. The following is an update on recent and upcoming activities for the AAMC. Look for more information in the upcoming Mills Quarterly, the (e)ucalyptus newsletter, and as always, on our website. We look forward to more frequent updates in the future.

FAQ and preliminary results from comment period
An FAQ and preliminary results from the comment period are now live online. This FAQ consists of questions that arose during the comment period for the AAMC’s future pathways. It includes questions related to Reinhardt Alumnae House, the alumnae database, current legal representation, and financials. Though we do not have all of the information requested by alumnae, as we have not begun conversations with Mills College at Northeastern University to learn more about the possibilities, we hope this FAQ serves as a good starting point to further inform you.

The comment period began during Reunion and lasted through November 4. In the past month, the Board of Governors has been hard at work compiling and studying the extensive and thoughtful comments from our alumnae. More detailed results, along with a plan for next steps, will be printed in the winter issue of the Mills Quarterly. In the meantime, the Board of Governors will continue their work to formulate the AAMC’s most effective next steps.

A farewell and two welcomes
After six months serving the AAMC, Interim Executive Director Pam Herman’s last day was December 6. In her time with the AAMC, Pam worked hard to develop and refine core policies, procedures, and infrastructure. She provided essential support to the Board of Governors as they created and communicated the future pathways of the AAMC to the membership. In this process, the Board gathered quality data that will inform next steps. We appreciate all that Pam has given to the AAMC this year, and wish her the best on her next endeavors.

On December 1, Lila Goehring ’21 became the Operations Manager of the AAMC after a year as Communications Coordinator. Lila studied creative writing at Mills and previously volunteered with the AAMC’s communications committee. In this full-time position, Lila will serve as the manager of communications and daily operations, and provide essential support to the Board of Governors.

In November, the AAMC also welcomed Winnie Aldaz ’22 as our Office Admin and Accounting Clerk. While at Mills, Winnie studied Business Economics, and they currently manage AAMC merchandise; work to maintain and expand the AAMC’s independent database; and work on accounting, processing donations, and greeting visitors at Reinhardt Alumnae House—among many other things. We feel lucky to have Winnie’s support!

Give the gift of Mills to family and friends
It’s not too late to order classic Mills ornaments for the holiday season! These five ornaments feature favorite Mills buildings and can be purchased individually or as a set, for a discounted price. Visit our online store today to purchase ornaments and other AAMC merchandise. Show love for your Mills siblings by gifting any of our unique items, from a gold or silver eucalyptus pin, to a silk scarf featuring a design of Mills Hall by artist Hung Liu.

Upcoming events
Join local alumnae at Reinhardt Alumnae House for the next CommuniTEA social led by the Hospitality Committee. These monthly events are a chance to connect with fellow alumnae in person for food and fellowship. The next event is on Saturday, December 17th, from 12:00-3:00 PM, and the theme is “Singing and Sweets.” Come for cookies and music! Contact millsieangela99@gmail.com for more details or any questions.

We hope you continue to stay warm and safe through the end of this year, and look forward to continuing to build community through our shared love of Mills.

Sincerely,
The AAMC Board of Governors

Join us in envisioning the future of the AAMC

October 14, 2022 (to shared College e-mail list)

Dear Alumnae Community,

Although this year saw the loss of our beloved alma mater, Mills College, as we knew it, we have an opportunity to maintain, celebrate and grow our community and what Mills has represented to us on a wider scale. We invite you to participate in envisioning what the AAMC can do, be a part of, and has a responsibility to do as an organization moving forward.

We have three options for the future of the AAMC:

Option 1: The AAMC remains an independent nonprofit with no relationship to Northeastern University

Option 2: The AAMC remains an independent nonprofit with a formalized relationship to Northeastern University

Option 3: The AAMC merges with Mills College at Northeastern Office of Alumnae Relations

In this chart, we have a framework that starts to paint a picture of what the AAMC could look like in each of these scenarios. The details of these options are not mutually exclusive; for example, there could be ways AAMC functions independently, while working with Northeastern in other ways. So while the chart is detailed, there is still much work to be done to bring any of these options to fruition. But a crucial question that must be answered is, “What relationship do alums want the AAMC to have with Northeastern?”

We are presenting these options to our alums and opening up a comment period for your feedback and recommendations until Friday, November 4, 2022. During this comment period, we will have two 90-minute Open Forum sessions on Zoom. In these Open Forum sessions, the Board of Governors will do a brief introduction and explanation of the options and then open the floor for comments. Each participant can raise their hand and will have up to 3 minutes to share their thoughts.

Open Forum #1:

Thursday, October 27, 2022
4:00-5:30 PM PT / 7:00-8:30 PM ET / Friday 10:00-11:30 AM AEDT

Open Forum #2:

Saturday, October 29, 2022
9:30-11:00 AM PT / 12:30-2:00 PM ET / 5:30-7:00 PM BST

You can register for these Open Forums at https://www.aamc-mills.org/mission-purpose-proposals.

Whether you participate in the Open Forums or not, we invite you to submit written comments and suggestions on the options. You can submit written comments in the following ways:

At the end of the comment period, the Board of Governors will review all feedback and provide a summary and report to our membership.

AAMC Bylaws
Article II of the AAMC bylaws specifically state the association’s purpose, and it’s clear that in light of the acquisition, the bylaws will need to be changed. The Governance committee is in the process of engaging a lawyer to review and update the bylaws, including the need to restate our purpose. Further, any changes to the bylaws require a vote of the membership. Thus, the Board of Governors’ course of action after the comment period will be one of two paths:

•If there is overwhelming support for one option over the other two during the comment period, the Board of Governors will proceed with membership input to update the bylaws and then hold a formal vote on the new bylaws in the Spring of 2023.•If no option receives overwhelming support during the comment period, the Board of Governors will arrange for an advisory vote for the membership to give direction to the Board on the three options in December or January (with a 30-day formal notice issued before the vote) and a second, formal vote on the new bylaws in the Spring of 2023.

We hope you will engage with us to envision all that we can grow and become for future generations, and to multiply what Mills has meant to us in meaningful ways. On behalf of the AAMC, we thank you for your continued dedication and passion for our beloved alma mater, Mills. We look forward to your input.

Sincerely,
The AAMC Board of Governors

Reunion this year will provide space and time for alumnae to share their thoughts and opinions with AAMC leadership and staff. Stay tuned next month for a full summary of what to expect during Reunion weekend from the AAMC.

We thank you for your continued dedication to the AAMC and the spirit and legacy of Mills College.

In appreciation,
The Board of Governors of the AAMC

Opt in to Alumnae Database, Mills Repaid $2M Loan to AAMC, AAMC Leadership, Next Steps to Update Mission

July 21, 2022 (to shared College e-mail list)

Dear Alumnae Community,

As anticipated, Mills College’s merger has been finalized as of July 1. We recognize this as an emotional time for our alumnae community, with a range of feelings from sadness to feelings of hope.

All of our passion for our Mills College spirit remains strong today, even now that it is Mills College at Northeastern. The AAMC wants to carry on the legacy of Mills College’s 170-year history—a place that has empowered women and given a voice to those pushed to the margins of society.

In our survey earlier this year, a call for healing and reconnection was made by numerous alumnae. No matter your views, we as an organization will serve you—and hope you will stand beside us as we craft our new path with your help, so a rediscovered shared purpose that preserves the spirit of Mills reunites us.

Opt in to the Alumnae Database

Currently, the Mills College at Northeastern’s Office of Alumnae Relations sends one email a month (like this email you are receiving today) to you on our behalf, and will likely continue to do so through the end of the calendar year.

As a reminder, you must opt in to be a part of the AAMC’s separate database going forward, as the college maintains all of the records of physical and email addresses. Please complete this opt-in form to share your Mills College contact record with the AAMC by this Friday, July 22nd. The Office of Alumnae Relations sent a reminder last week. Once we receive the contacts who’ve opted in to the AAMC database, we will begin to migrate our communications to that list. You may also review the AAMC privacy policy.

Mills College Has Repaid the $2M Loan in Full

We are happy to announce that the AAMC’s $2 million loan to Mills College, anticipated to be returned in August, was returned on June 30, 2022.

In December 2017, the AAMC Board of Governors had made a historic decision as a board and voted unanimously to extend a $2 million line of credit to the College to fund two important academic initiatives: MPOWER, the Mills signature undergraduate experience designed to enhance student recruitment and retention; and two new School of Education online graduate degree programs.

We are grateful for the loan’s return and for the support it will give our organization in this critical moment.

Meet the new AAMC Interim Executive Director, Pam Herman

The AAMC’s Interim Executive Director, Pam Herman, began working on June 6, 2022 and plans to work with the AAMC through the beginning of December. Pam has a 25 year history of working with nonprofits. She has a masters degree in Organizational Management, and has led community foundations, local nonprofits and national nonprofits.

Pam’s strengths include implementation of strong governance and policies, strategic planning, financial planning, managing endowments, and engaging in board development. With her leadership skills and partnership with the Board of Governors, we hope to restore a strong and vibrant AAMC that will serve all members for many years to come.

Debby Dittman Takes the Reins as AAMC President

We would also like to officially welcome the AAMC’s new president, Debby Campbell Dittman ’68. Debby has served on the Board Governors since 2019, where she has served on the travel committee and on the executive committee. She has been long engaged in 1968 class activities, having chaired their 50th reunion celebration with a strong committee from her class. Together, they raised over $4 million for the College. As President, she looks forward to helping craft the AAMC’s future alongside the Board of Governors, the branches and clubs, and with all alumnae.

Moving Forward

The Board of Governors is hard at work to establish proposals for criteria for AAMC membership and alumnae input for updates to our mission. We will also review our by-laws to ensure they are modified to reflect these changes. Additionally, a California Corporate Compliance attorney will review and clarify areas of the bylaws which may be unclear, before they’re put forward to the greater alumnae community for approval.

We look forward to sharing the resolution of issues raised this past year, and our hopes for the further evolution of the AAMC with you, our engaged alumnae.

In dedication to our Mills alumnae community,
The Board of Governors of the AAMC

Update on Negotiations with Mills, The Future of the AAMC, Interim Executive Director, 2022-2023 New Governors & Nominating Committee

June 6, 2022 (to shared College e-mail list)

Dear Alumnae Community,

We thank all of you who showed support for the class of 2022 at last month’s commencement, attended our annual meeting, and provided input into our future through our survey, two summits, and a follow-up focus group. As of July 1, Mills College’s merger with Northeastern University will be finalized, and we are working hard to ensure the AAMC remains strong for years to come. We would like to update you on our negotiations with the college, consideration given to developing our future mission statement, the appointment of an interim Executive Director, and the appointments for this year’s nominating committee and members of the Board of Governors.

Update on Negotiations with the College

Reinhardt Alumnae House (RAH): Mills College leadership confirms that the current RAH arrangement will be in place for one year after the merger, during which time the relationship between the AAMC and Mills College at Northeastern University can be formalized.

Database: Mills will initiate an "opt-in" process for alumnae to give consent for the college to share their personal information with the AAMC. We hope you will activate this data sharing option to help shape the future of our organization. The AAMC is committed to a stringent privacy policy which is available at aamc-mills.org/privacy-policy. The policy confirms that the AAMC will not sell Mills’ alumnae data to any third party, nor share it with any third party except as necessary to send you email or postal mail, nor use it in any other way except to support the AAMC. The privacy policy also delineates a robust plan for data security.

The Future of the AAMC

Two summits were held on February 26 and March 12 to discuss the AAMC’s future. A summary of the outcomes is available. The focus group met on April 2, and discussed our proposal for an updated mission statement, as is listed below. Additionally, the focus group developed suggested goals for 2022 and beyond, which include updating the Memorandum of Collaboration with the college, working to secure Reinhardt Alumnae House in the future, ensuring a robust alumnae database, updating the AAMC’s bylaws, and assessing and refining our committees.

Mission Statement

The current AAMC mission statement
The AAMC is an independent, inclusive community actively promoting the interest of its constituency with information, participation, and life-long connections and learning. The AAMC encourages the growth of Mills as an undergraduate college for women and a graduate institution for women and men at the forefront of higher education.

The proposed changes to the AAMC mission statement
Discussion has taken place as to how the last sentence of the mission statement should change since the statement is current only until June 30th, with the Northeastern merger taking place July 1. Suggestions were made that dropping that sentence could be an alternative in a revised mission statement.

Interim Executive Director, Pam Herman, to join the AAMC June 6

The Ad Hoc Personnel Committee of the AAMC interviewed and selected Pam Herman to serve as the Interim Executive Director for the AAMC. Ms. Herman will advise and support the Board of Governors and staff to ensure organizational stability during this transition period. She will also document and communicate organizational policies and procedures, and develop and establish a strong infrastructure. Ms. Herman will also ensure progress on key organizational priorities, including fundraising and volunteer development.

Board of Governors and Nominating Committee Updates

Pursuant to Article IV, Section 4.B. of our bylaws, the Nominating Committee has nominated, and the Board of Governors has approved, the following officers and governors to serve the Alumnae Association of Mills College starting July 1, 2022.

Letter from the Class of 2022 Senior Class Council to alums regarding Commencement

April 29, 2022

Greetings Mills Alums,

We would like to start off by thanking you for being passionate about Mills and supporting current students. We have admired your dedication and the time invested in keeping Mills, Mills. As a council, we have learned a lot over the last year from you all. Our upcoming Commencement ceremony in May is an experience that we have looked forward to for years. We are excited to celebrate with our classmates and families – we deserve to celebrate.

Between the pandemic and the various iterations of a Mills College merger, our time at Mills has been filled with uncertainty and limited opportunities to celebrate in community. This being said, we kindly ask that you all refrain from protesting at commencement. Based on our experience at Convocation last semester, we do not think that Commencement will be the right place to protest. We are asking for empathy and understanding that just one day out of the year, we are not overshadowed by the merger, and can instead focus on celebrating our successes and accomplishments in community.

We hope that you all can join us for the 134th Commencement as you have in previous years and will welcome our class into the amazing alumnae/i community.

Sincerely,
Class of 2022 Senior Class Council

The senior class council is made up of elected student officers of the ASMC who organize events and fundraise for their class. The council is advised by two staff members under the Division of Student Life.

Annual Meeting Agenda, Commencement Day Activities

April 25, 2022 (to shared College e-mail list)

Dear Alumnae Community:

Our Annual Meeting will be held at 2:30 pm on May 14, 2022, in the garden area behind Reinhardt Alumnae House. We know interest is greater than ever before, so we have secured a mechanism to allow alumnae the world over to watch this meeting. Whether you will be attending in person or virtually, all alumnae who register will be able to vote securely. To ensure the smoothest possible experience, we require anyone attending in person or online to register at https://www.aamc-mills.org/annual-meeting-registration. Regardless of whether you attend in person or virtually, voting will only be allowed by those who have registered. Please register by May 12, 2022.

The Annual Meeting is being held the same day as the 2022 Mills College Commencement.  Registration for walking in Commencement has closed; however, we hope many alumnae will join the audience to observe the ceremony and celebrate this legacy class or view a live stream of the ceremony.

Following the annual meeting, a celebration will be held at Reinhardt Alumnae House to honor the class of 2022 and all alumnae. This event is being sponsored by the AAMC, LA, and NY Mills clubs as well as some individual donors. If you plan to attend this celebration but not the annual meeting, please RSVP to aamc@mills.edu in place of the link above.  Masks are required indoors and during the Commencement ceremony. COVID mitigation strategies are continually changing.

Annual Meeting Agenda

  • President’s Report: Updates on Database & RAH (10 minutes)

  • Treasurer’s Report & Annual Budget (10 minutes)

  • Branch/Club Report (10 minutes)

  • Summit Report (10 minutes)

  • Nominating Committee Report (10 minutes)

  • Nominating Committee Nominations/Elections (20 minutes)

  • Petitioners’ Remarks, details below (15 minutes)

  • President’s Final Address (5 minutes)

A group of petitioners requested that the Open Letter to Congress be sent to all alumnae by USPS mail and received by May 1, and that the petitioners be granted 15 minutes on the Annual Meeting Agenda to provide contextual comments regarding this letter. Please note, you are being notified in this email, according to AAMC bylaws Article III, Section 4, that a special meeting must be held when a petition signed by a minimum of twenty-five members of the Association is received by the Treasurer/Corporate Secretary or President of the Board of Governors. By mutual agreement of the Board and the petitioners, petitioners will be heard during the Annual Meeting.

Two petitioners, who were also Board of Governors’ members, called for a vote on the distribution of this full hard copy letter by the Board of Governors. That roll call vote was held at a Special Board Meeting convened on April 10, 2022, and the Board declined to send the full letter out by mail. On April 12, 2022, the petition referenced above was sent to the Board of Governors.

Much has happened in the last year, and the AAMC is a dedicated source for keeping alumnae up to date on current events. We look forward to seeing you at the Annual Meeting.

Regards,
The AAMC Board of Governors

April 10, 2022

A special meeting of the Board of Governors was convened Sunday, April 10, 2022 at 9 a.m. to discuss and vote on the following motion, brought forward by Governor Alexa Pagonas and seconded by Governor Claudia Mercado:

While minutes of the April 10th meeting which will include the details of the discussion among the Governors are not available yet, we are posting the roll call votes as follows:

AAMC Town Hall and Summits Recaps; Apply for a BOG Seat; Annual Meeting

March 28, 2022 (to AAMC-owned e-mail list)

Dear Alumnae Community,

The beginning of this year has been a busy one, with many events both in-person and online as we work towards a strong future for the AAMC. In addition to alumnae-focused programs summarized below, the Alumnae of Color Committee and the Alumnae Student Relations Committee funded the distribution of the mid-semester care packages to students. To learn more about the various committees or to become involved, and to receive more regular updates from the AAMC, please sign up for our mailing list at aamc-mills.org.

We are excited to announce the Board of Governors’ approval of the search for and hiring of an Executive Director for the AAMC. More details will follow soon about this step to ensure AAMC will thrive long into the future.

At the original request of petitioners to end the AAMC’s lawsuit, a Special Town Hall was held on February 8th via Zoom. Participants heard from petitioners as well as BOG members and AAMC President Viji Nakka-Cammuaf regarding the lawsuit and the AAMC’s future. You can view some of the presentations and read post-meeting materials now available on the February 8th Town Hall page on aamc-mills.org.

Additional information will be posted there as it becomes available. There were 369 alumnae who responded to the petitioner’s poll, mailed out to all alumnae in January. Read the petitioner poll results.

Following the February 8th Town Hall, the AAMC sent a survey via email to more than 12,000 alumnae regarding the basics of AAMC’s future - the first of additional surveys in the coming months to gather more alumnae input. Questions covered its mission, membership, and future activities. A total of 731 alumnae completed this survey. Review the results (including a summary of the open-ended responses).

Also, to gather community input regarding AAMC’s future, two in-person Summits were recently held, the first on February 26th, and the second on March 12th. Both were held on campus. Conversations involved the AAMC’s future as well as Mills’ important legacy as an empowering space for women and for lifelong connections. Read a full summary of both Summits.

Applications for Board of Governor seats are now being taken! Download the Board of Governor Application and submit it to the AAMC no later than April 11th. If you have questions, please contact aamc@mills.edu.

You can still purchase classic AAMC and limited-edition For Generations Still merchandise. All proceeds benefit the future of the AAMC. Find shirts, hats, mugs, and more!

The Board of Governors of the AAMC hopes you will join us for activities during Commencement weekend, including our Annual Meeting on May 14th at 2:30 p.m at Reinhardt Alumnae House, followed by a reception. We gather on what may be the very last Mills College graduation to welcome our newest class of alumnae. As we honor the students on their special day, board members and alumnae will let them know they have our support and will integrate them into the Alumnae Association and community.

If you’re unable to join us on campus, you will still be able to enjoy a live stream of the ceremony. For in-person attendance, proof of vaccination will be required, and registration for Commencement will be available soon. Look for additional details and more specific information regarding these and other activities planned that weekend on our website in the coming weeks. We look forward to celebrating our legacy class of 2022 with all of you from near and far.

With warm regards and well wishes,
The Board of Governors of the AAMC

Special Meeting & Town Hall Follow Up, AAMC Summit, Social Media Updated Rules

February 28, 2022 (to AAMC-owned e-mail list)

Special Meeting & Town Hall Follow-Up

The AAMC recently hosted a successful Special Meeting & Town Hall on February 8th via Zoom. The meeting was requested initially by those petitioning to end the lawsuit, who gave presentations alongside BOG members about the history and outcomes of the lawsuit. The meeting also covered the future of the AAMC and heard reflections from AAMC President Viji Nakka-Cammauf.

As a follow-up to the Special Town Hall Meeting, you can read the FAQ that addresses questions sent in by AAMC members.

Presentations from the Special Meeting & Town Hall will also be posted to our website in the near future.

Summit

Following the Special Meeting & Town Hall, the AAMC sent a brief survey to alumnae via the College’s mailing list regarding the future of the AAMC. Thank you to all who participated. The answers to open-ended questions require more time to analyze. Once we complete this analysis, we will post the results on our website and social media.

This preliminary survey was meant, in part, to gather data to inform some of the discussions at the AAMC Summit held this past weekend on Saturday, February 26th.

The February 26th Summit served a vital role in developing a foundation for the future of the AAMC as we begin to revisit our mission, membership, and activities. The Summit involved key representatives from a multitude of AAMC Committees and groups. The summit was led by Jim Langley, who hosted the AAMC Summit in 2015, which activated alumnae and eventually led to the Memorandum of Collaboration with the College.

Stay tuned for a more in-depth survey regarding the future of the AAMC in March. Your voices will be needed in the near future as we move forward amidst great change.

In the coming months, your input regarding the future of our organization—its mission, membership, and activities—will be more vital than ever. Season’s Greetings, Call for Alum Entrepreneurs, Documentary to Watch, New Alumna Trustee

December 21, 2021 (to shared College e-mail list)

The Board of Governors wish you and yours a happy, healthy holiday season. After a tumultuous year involving an ongoing pandemic and change within our college, we want to acknowledge your commitment to our community of Mills alumnae—one that will be strong for years to come.

‘Tis the season to shop local! The AAMC is delighted to partner with the Center for Transformative Action (CTA) at Mills, which has put together a form to collect information on Mills entrepreneurs—alumnae, staff, faculty, and friends alike. Even those without consumer offerings are invited to fill out this 3-10 minute survey detailing their business and will be invited to participate in campus speaking opportunities, entrepreneur showcases, networking mixers, shopping guides, and more. We are grateful to the CTA for this chance to lift up our community.

Though it is the holiday season, those experiencing domestic violence are affected year-round—and statistically, the risk is heightened during this time of year. The Ariana Mae Hatami Foundation—named after a young woman who lost her life to domestic violence, and brought to our attention by an alumna—has produced a documentary to raise awareness and inspire viewers to take action and save lives. This film, titled “Message From Ariana” can be viewed at no cost at messagefromariana.com.

This film is a good reminder to hold your loved ones close this holiday season, and always remember who you are and what you represent.

The Board of Governors unanimously approved the nomination of Claudia Mercado, BA ’06, PLEA MA ’07, as Alumna Trustee to fill the vacancy left by Jacki Brown.

The AAMC will always be grateful for your voice and your presence. Please check our website, aamc-mills.org to view new videos and content soon, and follow us on social media. May the New Year bring you special moments with family and friends, and new opportunities for our community to stand together stronger than ever.

 With warmest regards,
The AAMC Board of Governors

Dr. Matt Hendricks’ Mills College Financial Health Analysis & Giving Tuesday

November 29, 2021 (to AAMC-owned e-mail list)

Financial Health Analysis

According to Dr. Matt Hendricks, Mills is financially sound, and is, in fact, one of the richest schools in the country for its size. The College does not have a wealth problem. It has a spending problem.

“Mills doesn’t need to merge. It can operate sustainably on its own.”
- Dr. Matt Hendricks

Many alums tuned in recently for an illuminating zoom presentation by Professor Matt Hendricks of the University of Tulsa. His analysis and assessments are informative for anyone who wants to see how Mills' financial health stacks up in the world of higher education. This is his area of expertise and study, so when President Hillman first announced the closure of Mills College back in March, it caught Dr. Hendricks’ attention.

We encourage all Mills alums to watch the video and see the data for yourselves.

Review Dr. Hendricks’ interactive IPEDS Dashboard for Mills College which he used in his presentation.

IPEDS stands for the "Integrated Postsecondary Education Data System," a system of interrelated surveys conducted annually by the U.S. Department of Education's National Center for Education Statistics. Though the dashboard takes a bit of an investigator's mind to use—all the Econ and PLEA majors will be just fine!—the results can be illuminating. And the “Presentation Outline” gives a summary of his findings in an easy-to-read format, so the rest of us are covered. Dr. Hendricks has given us permission to share far and wide, and we encourage you to share with other alums and stakeholders you know.

This report is further evidence as to WHY the AAMC is continuing to stand up for Mills College and for our shared future.

Support the AAMC this Giving Tuesday!

We are excited to be offering a great range of AAMC and For Generations Still merchandise (calendars, candles, stickers, and even Pearl M’s!) as gifts with donations made to the AAMC now through Giving Tuesday.

Donate to the AAMC today!

And to see all of the classic AAMC and limited-edition For Generations Still merchandise available, visit our website merchandise pages…you’ll find great holiday gifts for your Mills friends and family!
www.aamc-mills.org/aamc-merchandise

Note: In Monday’s version of the AAMC Update e-mail, the first paragraph should have read, “According to Dr. Matt Hendricks, Mills is financially sound, and is, in fact, one of the richest schools in the country for its size. The College does not have a wealth problem. It has a spending problem.” This web version has been updated with the text and a note about the change sent to the AAMC mailing list in the Tuesday, November 30th Giving Tuesday e-mail.

The AAMC shared Dr. Hendricks’ presentation and data so alums could review the information and draw their own conclusions about its findings, which aligns with the AAMC’s call for transparency and to explore all options since the College’s March 17th announcement.

Legal News & AAMC Update, Giving Tuesday, Meetings in January, Staffing Update

November 21, 2021 (to AAMC-owned e-mail list)

Legal News and AAMC Update

In our ongoing negotiations to bring the lawsuits to an end, the AAMC’s legal counsel on behalf of the Board of Governors sent a letter on Friday, November 19th to the College’s counsel. We look forward to hearing back from the College and working toward an amicable resolution.

The AAMC Board of Governors is hopeful that in-person negotiations will begin soon as we seek resolution of both the College and the AAMC lawsuits. The College has received this letter from the AAMC’s legal counsel, asking for future dates to discuss pending issues.

Read the full letter on AAMC’s website.

The AAMC has operated independently as a 501(c)(3) for over 100 years, and we will continue to do so. For those who value the Alumnae Association of Mills College and want it to continue as the independent leadership organization of Mills alums, it is important for you to engage with the AAMC.

The future of the AAMC and alums’ access to campus, to Reinhardt Alumnae House, and the legacy of Mills College, and many other issues need more clarification. We want to hear from you, and we welcome your input and involvement.

You may have received an email on Friday from the Office of Alumnae Relations, with a message from two of the alumna trustees, giving an update on the Northeastern merger. To be clear, the Office of Alumnae Relations is a department of the College—not the AAMC—that is working with Northeastern University for the benefit of the Institute and for Mills College at Northeastern. This is separate from the efforts of the AAMC.

Please be aware when you receive correspondence who it is that is sponsoring and sending that correspondence. For clear and current AAMC information, please visit our independent website at https://www.aamc-mills.org.

Giving Tuesday is almost here!

Time flies when you’re trying to save your alma mater, doesn’t it? But here we are, with the holiday season upon us, and one of the best days of the year—Giving Tuesday—is just around the corner!

We are excited to be offering a range of great  AAMC and For Generations Still merchandise (calendars, candles, stickers, and even Pearl M’s!) for donations made to the AAMC on Giving Tuesday. We will be sending another email in the next few days outlining all of the details and posting on our Facebook page and website. Please watch for more information and plan to make your donations to the AAMC on Giving Tuesday, November 30th!

We are aware the College has already mailed postcards to alums about making donations on Giving Tuesday. Please note that those donations go to the College for its exclusive use. If you are interested in supporting the future of the AAMC as an independent 501(c)(3) organization, we ask that you make your donations directly to the AAMC.

If you don’t want to wait for Giving Tuesday, you can donate to the AAMC now! Visit our website to make online donations or to see instructions on mailing checks directly to the AAMC.

Donate to the AAMC today!

Are you retired?

We encourage you to send any end-of-year Required Minimum Distribution (or any portion thereof, in cash or stock) to the AAMC’s fundraising efforts. For details on making this kind of donation, please contact your accountant or financial advisor or send an email to aamc@mills.edu, and we will get back to you. Thank you for your consideration!

Meetings in January

We will be announcing the date soon for our upcoming meeting requested by a group of petitioners seeking to be heard on withdrawing from the lawsuit. Additionally, at that meeting, we plan to update alums on the status of the lawsuit and negotiations for settlement. We will also host a second meeting to discuss and articulate the next steps for the AAMC. These meetings, most likely to be held in January, will be announced in the coming weeks. Please watch for these invitations to come.

Staffing Update

We will have some exciting news for you in our next email about new staff joining the AAMC.

With our thanks…

During this season of Thanksgiving, we give thanks to our many engaged alums and wish you all a warm and peaceful holiday with family and friends.

Financial Update
Board of Governors Update
Website & Communications
Pearl M’s

November 8, 2021 (to AAMC-owned e-mail list)

AAMC Financial Update

The AAMC has posted the following financial updates to aamc.mills.edu:

  • A high-level financial update from the September 2021 AAMC meeting is available on the Minutes & Reports page under “Committee Reports, Finance.”

  • The annual AAMC tax filings (also known as the “990s”) for the years 2018 (July 2018-June 2019) and 2019 (July 2019-June 2020) are available on the Minutes & Reports page under “Financials.”

The fiscal year 2021 (year ending June 30, 2021) high-level report, plus other financial information, was shared with the Board of Governors at the October 20, 2021 Board meeting.

Upon the Board’s approval of minutes and financials at the next Board meeting on November 13, 2021, we will post additional financials on our website for all alums to access. It is important not to review the financials alone without the minutes for full context.

Board of Governors Update

The Governors have been in communication with representatives of the petitioners about when the special meeting they requested will be held. Due to the upcoming December holidays, they have requested a meeting in January, date to be determined. Once a date is set, all alums will receive notice of the meeting via US mail, along with instructions on how to register.

AAMC Website & Communications

Since creating our new, independent website, www.aamc-mills.org, we have been working on migrating the content from the College-owned website, aamc.mills.edu. Although more slowly than we would like, this process continues, as we are still seeking to fill our open staff position.

Pearl M’s

We currently have a few Pearl M’s still in stock! If you would like to get these before the holidays, please order your Pearl M soon. Additionally, holiday ornaments of El Campanil, the Music Building, the Art Building, Eucalyptus Trees, and Mills Hall are still available. Visit the AAMC Merchandise page to see all of our available merchandise.

Litigation Update
Alumna Trustees Recall Update
Mills Alumnae Relations Small Group Discussions

October 31, 2021 (to AAMC-owned e-mail list)

Board of Governors Votes to Negotiate with Mills
Governors hope this creates a path toward both sides dropping their lawsuits

On October 20th, the Board of Governors voted to begin conversations and negotiations with the College, which the Governors hope will create a path for both sides to move forward and drop their lawsuits.

The AAMC and individual plaintiffs have now asked the College and individual defendants to engage in settlement discussions that, if successful, would resolve litigation. Thus far, the College has declined to do so.

The Governors believe it is critically important that before the lawsuits are terminated, the AAMC and the College negotiate in good faith and reach new agreements detailing how we’ll work together in the future. Such agreements are necessary to put past actions behind us and to ensure that, going forward, we work together in ways that will benefit all alums. From recent social media posts, it appears the College wants to have both sides withdraw from the lawsuits prior to negotiations, and before providing the AAMC assurances about how the College will honor alums and previous agreements made with the AAMC.

The Governors acknowledge receipt of the petition from alums calling for a meeting to discuss withdrawing from the lawsuit. Since the Board of Governors has already voted to engage in efforts to negotiate with the College, we ask for alums to help our negotiations by reaching out to the College and asking them to engage with the AAMC in good faith.

The Board of Governors will determine the next steps regarding litigation once we see the College’s response to our outreach. We appreciate all who’ve contacted the AAMC to make your voices heard. We encourage you to continue to do so.

Alumna Trustees Recall Update

The petition to recall the Alumna Trustees has been withdrawn in the spirit of compromise, now that Jacki Brown has resigned, and the petitioners believe they will secure representation on the Board of Trustees. Therefore, there will not be a re-vote to recall the Alumna Trustees.

Mills Alumnae Relations Small Group Discussions

On October 27th, the Mills College Office of Alumnae Relations sent an email asking alums to engage in small group discussions about how alumnae may engage with the future Mills College at Northeastern University.

As a reminder, the Office of Alumnae Relations is separate from the AAMC. Independently, the Board of Governors will engage directly with alums in the coming months to further articulate, clarify, and chart the path forward for the AAMC. Nevertheless, the AAMC encourages your participation in these small groups to take advantage of all opportunities to shape the future of alum participation and engagement with Mills College at Northeastern University.

Thank you for your continued support of the AAMC during this tumultuous time. Please note that we are still accepting applications for our open staff positions. We are also working on plans for upcoming town hall meetings with the intent of scheduling one in November.

Anti-Homophobia Statement
Lawsuit Update
Staffing Update

October 18, 2021 (to AAMC-owned e-mail list)
October 20, 2021 (to shared College e-mail list)

Note: The AAMC will send weekly updates to its e-mail list, then compile weekly updates into a monthly update sent via the shared e-mail list with the College.

Going forward the AAMC weekly updates will be sent out each Monday. If you have not yet already done so, please subscribe directly to the AAMC mailing list by visiting www.aamc-mills.org/subscribe and completing the subscription form. We also ask that you encourage your fellow alums to subscribe so we can build our own AAMC mailing list as quickly as possible. Being able to email you directly ourselves, rather than having to go through the College’s system, will allow us to reach you in a more timely fashion.

Support for LGBTQIA Alumnae and Students

We are pleased to announce that the AAMC LGBTQIA Committee is being re-established, led by BOG member Alice Hewitt ’15 (alice.hewitt15@gmail.com). A statement from this committee, in direct response to a letter from some alumnae that circulated last week, will be sent out separately via email and also posted on the AAMC Facebook page, so please watch for that to come.

The Board of Governors, on behalf of the AAMC, strongly affirms and stands with our LGBTQIA community at Mills. We support and are proud of our LGBTQIA students and alumnae, a group that also includes students of color and students with disabilities. The AAMC believes that the 58% LGBTQIA-identifying student population is one of Mills’ greatest strengths and is an asset for the college.

We invite you to read AAMC’s official Anti-Homophobia statement in support of our LGBTQIA students, faculty, staff, and alumnae.

Alumnae Association of Mills College (AAMC) and the Mills College Office of Alumnae Relations

We’ve had some questions about the difference between the AAMC and the Office of Alumnae Relations. The AAMC is an independent organization (we are our own 501(3)c non-profit) and we operate separately from the College administration. By contrast, the Office of Alumnae Relations is a department within the Mills College administration. Thus, the correspondence you receive from each of us will be quite different in nature, especially since there is active litigation between the two.

We have added text to the footer of e-mails that come directly from the AAMC to distinguish between those e-mails sent from the shared e-mail platform with the College. Please be patient if you receive duplicate e-mails for the time being as we work to broadly communicate with alumnae during this critical juncture.

Speaking of, what is the latest with the lawsuit?

The Court has already issued a tentative ruling dropping the College’s demurrer. There will be a hearing this Thursday, October 21, unless both parties agree to accept the tentative ruling. For those of us who didn’t go to law school, here’s a quick explanation of the demurrers as well as the Anti-SLAPP motion:

  • Mills College Cross-Complaint:
In addition to their cross-complaint, the College also filed a demurrer, which is similar to a motion to dismiss. The AAMC filed an opposition to the College’s demurrer, which is what was just ruled on (see above).

  • AAMC’s Anti-SLAPP Motion:
This is a response by the AAMC to the College’s cross-complaint. This is a special motion to protect the exercise of the constitutional right of free speech and petition. The motion sets forth that the College’s cross-complaint is without merit and an attempt to squelch the Plaintiffs’ constitutional rights to sue. It points out that there are no establishing facts in the College’s cross-complaint.

  • AAMC’s Demurrer:
This is a response by the AAMC to the College’s cross-complaint. A Demurrer is a motion to the court asking for the court to end the College’s counter lawsuit on the ground that the cross-complaint has no merit. The AAMC asserts that the cross-complaint does not state facts sufficient to constitute a cause of action.

As always, you can find the latest updates and information regarding AAMC’s legal actions on our website: https://www.aamc-mills.org/lawsuit

AAMC Staffing

As you know, the AAMC is working hard to improve our organization’s infrastructure. To that end, we are actively seeking to fill open staff positions, as well as looking at an Executive Director function. We will be releasing new information soon regarding the status of these roles.

Thank you for your continued support of the AAMC as we work through these most challenging times. We welcome your input and if you would like to offer your own time and assistance, we would love to hear from you!

AAMC update on how we’re addressing organizational & infrastructure challenges

October 7, 2021 (to AAMC-owned mailing list)
October 14, 2021 (to shared College mailing list)

Dear Alumnae,

The September AAMC meeting, for all of its difficulties, crystallized many of the inherent challenges this year has wrought while revealing critical infrastructure needs that we face as an organization. We want to share with you how we are addressing the most urgent of these issues.

Lack of Independent Infrastructure

Our lack of infrastructure independent from the college is more than problematic; it has become a threat to the proper function and essential role of the AAMC. We are aware of our significant technical challenges and limitations and are looking at tools and staffing to improve this rapidly and dramatically.

We also know that we need more administrative and communications support. In past years, Board of Governors members were expected to devote 8-20 hours a month to our duties. Since March, a number of Governors have averaged 40-60 hours a week. We recognize this is not a sustainable model.

Furthermore, Governors normally meet in person often throughout the year, and onboard new Governors at our annual weekend retreat. Since COVID, this process has been severely impacted and has been exacerbated by the numerous different announcements from the College since March. The Board of Governors recognizes we must institute Board training and formalize policies and procedures to become a more effective organization; we are working towards those efforts now.

Limited Access to Alumnae Contact Information

While we can send any and all communications through our own email system, which we created quickly in July, we have only approximately 4000 alumnae email addresses. In many cases, we are still able to communicate through the system owned by the College, which has approximately 12,000 email addresses. These messages may be limited to event and meeting invitations, general messages about AAMC programs, co-sponsored events with the College, or messages about supporting students. The College continues to provide mailing lists for approximately 21,000 alumnae to third-party vendors as needed for AAMC hard copy mailing purposes.

The Board of Governors has been working with College staff to create our own database, but it will take time to complete the process. The Board is also working with College staff to mitigate and manage communication issues to ensure alumnae receive information as timely as possible; nevertheless, these challenges have made direct and timely communications more difficult.

Please subscribe directly to the AAMC mailing list by visiting www.aamc-mills.org/subscribe and completing the subscription form. We also ask that you encourage your fellow alums to subscribe so we can build our own AAMC mailing list as quickly as possible.

Alumnae Community and Collaboration

Our goal is to communicate well and often. To that end, we will be setting up Zoom sessions with alumnae for collaborative problem-solving no later than November. In advance of that, we will share weekly updates—via email and on the AAMC website and social media pages—as we are diligently addressing our organizational and infrastructure needs.

This year has been tumultuous and challenging; we are, however, Mills alumnae. We must focus on our shared commitment to maintain the legacy our alma mater bestowed upon us. It is incumbent on each of us to be the custodians of both Mills’ history and AAMC’s duty to Mills students and alumnae. Amidst the challenges and changes, we must rise, like the phoenix from the ashes, to emerge stronger together in building our future.

In solidarity,
The Board of Governors of the Alumnae Association of Mills College

Note: The section on how/when the AAMC can communicate using the shared mailing list with Mills was updated for the October 14th e-mail.

An update & apology regarding the September 25th Annual Meeting

September 28, 2021

Dear Mills Alumnae Community,

I want to sincerely apologize to all alumnae for this past weekend's Annual Meeting and for the AAMC's failure to properly plan for and control the presentation of issues, opinions, and actions that resulted in a long meeting with an inconclusive outcome.

We did not provide adequate information for meeting attendees to review in advance, nor did we give adequate context and space for the issues raised by the alumna trustee recall petition.

Additionally, the BOG announces that we cannot validate and verify the vote on the motion to recall the three alumnae trustees at this time.

The parliamentarian at the meeting on Saturday explained that the voting process was begun, but not finished before the meeting was adjourned, which invalidates the entire vote. In addition, there were Zoom issues that prevented some of you from voting, and many of the votes received on Zoom could not be verified due to registration deficiencies.

As a result of these circumstances, we could not reliably tabulate the votes.

The Board of Governors will meet with legal and parliamentary authorities to determine the proper next steps to rectify this situation.

As we work to resolve this matter as swiftly as possible, we will update you at our earliest opportunity.

Sincerely,
Viji Nakka-Cammauf, MA ’82
AAMC President

Read the petition for a meeting to recall Alumna Trustees

September 24, 2021

Dear Mills Alumnae,

On August 3, 2021 the Board of Governors (BOG) received a petition signed by 27 verified alumnae members of the AAMC requesting a meeting to vote to recall the AAMC's alumna trustees.

The BOG is obligated to fulfill the bylaws, which clearly state in Article III, Section 4:

The Board of Governors or President shall call a special meeting of the members upon receipt by the Treasurer/Corporate Secretary or President of a petition signed by twenty-five (25) members of the Association.

Furthermore, as a nonprofit operating within the state of California, we are also bound by California law. California Corporations Code §5222(f)1 states that “any or all directors may be removed without cause” by a vote of our membership. Taken together with the bylaws, this means that, should a recall vote move forward during our annual meeting on September 25, it could result in none, one, two, or all three elected alumna trustees being removed.

Below is the full text of the petition, as well as its signatories. The petitioners published their rationale for the recall demand this afternoon. Click here to read it on our website, aamc-mills.org.

Regards,
The Board of Governors of the Alumnae Association of Mills College

Register for the AAMC’s Pre-Annual Meeting Town Hall

September 21, 2021

Dear Mills College Alumnae,

As you may know, I have been engaged by the AAMC to help facilitate the annual meeting on Saturday, September 25. There are several important issues on the agenda – but, due to scheduling constraints during Reunion, there simply won’t be enough time to have the candid, thoughtful and robust dialogue each issue deserves.

It has also become abundantly clear during my conversations with alumnae that we must address the events of the last several months. Therefore, in an effort to make space for discussion, I will be facilitating a Zoom town hall meeting for alumnae on Thursday, September 23 at 6:30 PM PDT. The goal of this conversation is to bring alumnae together to dialogue in an honest, authentic, and productive way.

You may register for the town hall here.

If you have any questions, please don’t hesitate to contact me at 916-995-4435. I hope to see you on Thursday.

Sincerely,
Tracie Stafford

Register for AAMC’s Annual Meeting

September 20, 2021

Dear Mills Alumnae,

The AAMC is hard at work preparing for our Annual Meeting during Reunion, on September 25, from 9:30 am-10:50 am.

If you plan on attending in person, please fill out our information form by today, Monday, September 20 at 5pm PDT.

In an effort to ensure that all alumnae who want to can attend, we've extended the deadline for registering for the virtual meeting. Please register here by Friday, September 24 at 5pm PDT and fill out our information form.

To register for the Zoom meeting you will need to have an account with Zoom and be logged into it, so we can authenticate your identity.

In order to vote during the meeting, your name on the Zoom screen will need to match the name on your Mills student/alum record, and include your class year. If you have questions about this, please reach out to AAMC Communications Coordinator Kate Beckwith, MFA '13 at karobinson@mills.edu.

If you plan to attend this meeting in person, please be advised that all COVID protocols will be in place:

  • Proof of vaccination or a negative COVID test within 72 hours of the meeting

  • Masks must be worn at all times

During this meeting, we will elect nominating committee members and discuss the status of the lawsuit with the College. Furthermore, the BOG has received a petition signed by more than 25 alumnae-at-large requesting a recall of alumna trustees; the AAMC bylaws require the BOG to call a meeting to consider their request (see Article III, §4). More information about this request is available at aamc-mills.org.

  1. In light of these requirements, the agenda for our annual meeting is as follows:
     AAMC update

  2. Nominating Committee elections or change of bylaws to keep the current committee for three years

  3. Lawsuit status

  4. Discussion of and vote for potential recall of any/all alumna trustees (California Corporations Code, see §5222(f)1)

Ballots will be distributed to all alumnae who are present. Alums who attend over Zoom will be able to vote using the poll feature.

We thank you for your support and engagement during this difficult time and hope to see you at the Annual Meeting.

In solidarity,
The Board of Governors of the Alumnae Association of Mills College

The AAMC responds to the Board of Trustees’ vote

September 18, 2021

Although the earth may tremble,
These halls will ring and fill,
With voices of our sisters,
For generations still.”

Dear Alumnae Community,

This week, President Hillman announced that the Board of Trustees has voted to proceed with the acquisition by Northeastern University, likely to be finalized in 2022. We share many of your questions and concerns about the future of Mills, and invite you to connect with the AAMC Board of Governors at aamc@mills.edu, and to look for a chronological synopsis of this past year, as well as upcoming alumnae events, at aamc-mills.org, including the upcoming Mills United Auction being held October 22-November 7.

If you have not done so already, please register for this vitally important AAMC Annual Meeting, taking place at 9:30 am PDT on Saturday, September 25. There we will provide updates on both the current status and the future of the AAMC’s legal action, addressing any questions you may have.

The last day to register to attend by Zoom is Friday, September 24. You can register for the Zoom here. Notice regarding the Annual Meeting and potential recall vote

September 10, 2021

Since the Board of Governors’ September 7 communication informing alumnae of the upcoming annual meeting, there have been a number of allegations regarding the motivation of the alumnae who petitioned to recall AAMC’s three elected alumnae trustees.

While it would be inappropriate for the BOG to weigh in on these allegations, it is important to note: the BOG did not initiate the petition, nor has it taken a position on the petition. However, the BOG is obligated to fulfill the bylaws, which clearly state in Article III, Section 4:

The Board of Governors or President shall call a special meeting of the members upon receipt by the Treasurer/Corporate Secretary or President of a petition signed by twenty-five (25) members of the Association.

The petition received by the BOG asking for a recall vote was signed by 27 verified members of the AAMC; therefore, under AAMC bylaws, their request for a hearing must be honored.

The petitioners will be articulating their rationale for their request soon. In accordance with the principles of independent thought and activism that guide AAMC’s work, the BOG urges all members to consider equally both their request and the alumnae trustees’ response.

How we got to where we are and what’s on the horizon for the Board of Governors!

September 7, 2021

Dear Mills Alumnae,

As an independent, inclusive community, the Alumnae Association of Mills College (AAMC) has always served to represent the will of Mills alumnae, who share an unwavering commitment to activism, antiracism, and gender inclusivity. You can read our antiracism statement, ratified February 17, 2021, here.

Based on town halls and surveys conducted after President Hillman’s surprise March 17 announcement that the College would admit its final first-year class this fall and transition to an institute, the AAMC immediately moved to engage our members to guide and inform the next steps the Board of Governors (BOG) would take.

In March, the BOG issued a survey to almost 12,000 alumnae; 1,158 responded. A vast majority wanted Mills to retain its mission and nearly 70% wanted Mills to remain a women’s liberal arts college or enter an equal partnership with another institution to make Mills viable. Only 16% agreed that Mills should become a non-degree granting institute. There was also little support for Mills becoming a college within a larger university. In open-ended responses, two key themes emerged:

  1. Alumnae want transparency from the College about how decisions related to the previously discussed UC Berkeley partnership were made.

  2. Alumnae want financial accountability, requesting the College’s Board of Trustees and President release documents explaining the College’s current financial status, along with endowment-related decisions.

Read the full survey results here.

On April 13, the BOG, the Save Mills College Coalition, and the UC Mills Campaign sent a joint letter to the Board of Trustees showing our collective commitment and resolve to protect Mills College’s legacy. Following the closure announcement, the BOG also made three separate requests to meet with the trustees—meetings we thought would have allowed for discussion, collaboration, and possible alternative paths for the College—but we were denied each time.

On June 7—ten days prior to President Hillman’s announcement about a potential partnership with Northeastern University—alumna trustees filed a lawsuit to gain access to financial data, term sheets, planning documents, and other information about the College’s current financial situation they need to fulfill their fiduciary duties as trustees and their obligation to help chart a future for Mills that honors its 169-year legacy. To this day, the College administration continues to stymie these efforts to seek truth and transparency.

In an effort to continue representing the will of alumnae, in July, a second survey was sent to the email contacts AAMC still had access to after the College blocked AAMC from accessing our full database of alumnae contacts. Of the 755 alumnae who responded, 634 (84%) favored continuing the lawsuit to ensure alumna trustees receive the information needed to make informed decisions about the future of the College. Opinions on the College’s negotiations with Northeastern had 28% opposed, 23% in favor, and 38% wanting more information. A majority wanted to ensure a minimum of $1 million dollars remains in the AAMC fund. You can read the results of this second survey here.

Based on these responses, the AAMC has continued its efforts to bring truth and transparency to this process. Unfortunately, despite an August 16 ruling from Alameda County Superior Court Judge Stephen Pulido ordering Mills College to grant alumna trustees access to the requested information, the College still has not provided multiple categories of information—including, most importantly, the complete draft term sheet of the agreement with Northeastern.

To say the BOG is disappointed with the situation at hand is an understatement. Since March 17, we have continued to seek clarity, transparency, and an opportunity to conduct (or review) feasibility studies to explore the most viable solutions for Mills. We recognize there is a diversity of opinions among our members as to what that solution looks like —but only a solution rooted in truth and transparency can bring people together to overcome the College’s challenges and forge a new path forward.

In the meantime, the AAMC’s work to support alumnae and students alike continues, through numerous scholarships, hardship fund requests, and care packages.

Keep an eye out for a separate email and/or a hard copy letter containing information about our Annual Meeting during Reunionon September 25from 9:30 am-10:50 am. Due to COVID restrictions, we were unable to hold our usual meeting in May. Please contact us at aamc@mills.edu if you do not receive this information and would like to attend the meeting, either in person or over Zoom.

During this meeting, we will elect nominating committee members and discuss the status of the lawsuit. Furthermore, the BOG has received a petition signed by more than 25 alumnae-at-large requesting a recall of alumna trustees; the AAMC bylaws require the BOG to call a meeting to consider their request (see Article III, §4).

What is next for Mills? As of this writing, we do not yet know. The AAMC will continue to seek ways to help create a sustainable future for Mills and advocate for communications between all stakeholders; additionally, we will work to restore the goodwill the AAMC community and the BOG have historically had with the Board of Trustees, President Hillman, and College officers.

We thank you for your support and engagement during this difficult time and hope to see you at the Annual Meeting.

In solidarity,
The Board of Governors of the Alumnae Association of Mills College
